These Terms of Use (the “Terms”) govern your access to, and use of the Website located at https://www.pulsebysolutions.com and any related content including but not limited to features, or services, main domain, subdomains, landing pages and forms made available through it (collectively, the “Services”).

By accessing, browsing, or otherwise using the Website, you (“User”, “you”, or “your”) confirm that you have read, understood, and agreed to be bound by these Terms of Use and by our Privacy Policy, which is incorporated herein by reference. If you do not agree, you must immediately discontinue use of the Website.

If you are using the Website on behalf of an organization, you represent and warrant that you are authorized to bind that organization to these Terms.

All content on the Website — including but not limited to text, graphics, logos, icons, images, audio, video, software, source code, page layouts, the “pulse by solutions” name and marks, and any compilation thereof (collectively, the “Content”) is the exclusive property of pulse, affiliates within the solutions by stc group of companies, or its licensors, and is protected by copyright, trademark, trade-secret, and other intellectual- property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and view the Content for your personal or internal business informational purposes only. No other right or license is granted, whether by implication, estoppel, or otherwise.

You may NOT, without our prior written consent: reproduce, modify, distribute, sell, lease, sublicense, publicly display, create derivative works of, frame, or mirror any portion of the Content; remove or alter any copyright, trademark, or other proprietary notices; or use any data mining, robots, or similar data-gathering tools.

You grant pulse by solutions a worldwide, royalty-free, non-exclusive license to use, store, and process User Submissions solely for the purpose of responding to your inquiry, providing the Services, and complying with applicable law. Processing of personal data within User Submissions is governed by our Privacy Policy.

Without limiting the foregoing, pulse by solutions does not warrant that: (i) the Website will be uninterrupted, secure, or error-free; (ii) defects will be corrected; (iii) the Website or the servers that make it available are free of viruses or other harmful components; or (iv) the information on the Website is accurate, complete, current, or reliable.

8. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL pulse by solutions, ITS AFFILIATES (INCLUDING THE solutions by stc group of companies), OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE WEBSITE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE WEBSITE SHALL NOT EXCEED 100 U.S. DOLLARS (US 100) OR THE EQUIVALENT IN LOCAL CURRENCY.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

9. Indemnification

You agree to indemnify, defend, and hold harmless pulse by solutions, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: (i) your access to or use of the Website; (ii) your violation of these Terms; (iii) your violation of any third-party right, including intellectual property or privacy rights; or (iv) any User Submission you provide.

10. Modifications to the terms and the website

Clause

We may revise these Terms at any time by posting an updated version on the Website. Changes take effect on the date stated as the “Effective Date” at the top of the document. Your continued use of the Website after that date constitutes acceptance of the revised Terms.

We reserve the right to modify, suspend, or discontinue all or any part of the Website, temporarily or permanently, with or without notice, and shall not be liable to you or any third party for any such modification, suspension, or discontinuation.

11. Termination

12. Governing law and jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt, without regard to conflict-of-laws principles.

Any dispute, controversy, or claim arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Egypt, unless otherwise required by mandatory applicable law (including, where applicable laws of your country of residence).

13. Severability and entire agreement

Clause

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be replaced by an enforceable provision that most closely reflects the original intent.

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and pulse by solutions concerning your use of the Website, and supersede any prior agreements on the same subject matter.
